3. Our Role and Regulatory Status

We act as a technology facilitator. We are not a Payment Aggregator, Payment Gateway, money transmitter, or bank , and we do not receive, hold or transfer funds in any such capacity. Regulated payment, conversion, wallet, liquidity and banking services are provided by Partners under their own licences and terms. Users must not describe us otherwise.

As a technology facilitator, we offer Payin and Refund services including conversion between supported currencies and assets. It may be provided with (a) instant settlement of Payins and Refunds per transaction, (b) batch settlement of Payins and Refunds, or (c) wallet-based Payins and Refunds using custodial wallets, as agreed in the Agreement. We offer no other product.

4. Onboarding and Screening

4.1 Every User and End User is onboarded and screened under our KYC/KYB screening standards and internal policies. Our assessment, which may be AI-based, results in approval or rejection. Approved Users are assigned a risk classification (high, medium or low), and the risk matrix for that classification governs their limits and conditions.

4.2 We may require enhanced screening, including proof of source of funds, at onboarding or at any time.

4.3 We may reject, restrict or offboard any User, End User or transaction based on our own evaluation, without giving reasons and without liability to any Customer, Partner or referral partner.

5. Compliance Standards

The following apply to every User and End User and cannot be varied by any BSA:

  • Age: no transactions by persons under 18 or over 70.
  • Limits: payment and transaction limits apply under the risk matrix for the User’s risk classification.
  • Account states: accounts may be active, dormant or inactive, each treated under our internal policies.
  • Wallet freeze: every new wallet, whether created for a User or for Apara, is frozen for 6 hours. This rule cannot be waived under any circumstances.
  • Prohibited jurisdictions: some jurisdictions are prohibited across all our entities and others for particular entities. No transaction is accepted if its IP address, device, the person’s residence or the payment method is linked to a prohibited jurisdiction.
  • Payin restrictions: we do not operate in certain markets. Payins are not accepted from an IP address, a payment method or a resident of such a market, including where a resident uses a payment method issued elsewhere.

6. Transaction Monitoring

6.1 Every transaction is monitored without exception, using rule-based controls designed for each product together with an AI-led monitoring system.

6.2 Monitoring considers the transaction together with the User’s or End User’s profile and history. Indicators may include unusual or sudden changes in value, volume or frequency; activity inconsistent with the profile; unjustified or repetitive activity; transactions that appear structured to avoid thresholds; prior alerts; and other risk indicators our systems identify.

6.3 Each transaction is approved or rejected automatically based on its risk score. We are not obliged to review decisions manually or to give reasons, and we are not liable for any rejected, delayed or blocked transaction.

7. Fees, Settlement, Reserves and Deposits

7.1 Fees are as set in the Agreement or on our dashboard or our published pricing, plus taxes, on amounts actually settled or received, net of refunds, chargebacks and reversals. Fees payable to Partners and referral partners are governed by their own agreements.

7.2 Settlement of Payins and Refunds is executed through Partners per transaction (instant) or in settlement batches (batch), subject to their cut-offs and checks. Conversion is at the rate applicable at execution, net of network and conversion costs; we are not liable for rate movements. We do not guarantee any settlement timeline.

7.3 Rolling Reserve and Security Deposit are set as Agreement requirements and defined by our Treasury/Finance with formal approval. The Rolling Reserve is auto-deducted from every settlement, whether instant or batch. At the end of each reserve period, any difference in the reserve’s value between the day it was reserved and that day is added to or removed from the User’s wallet and included in the next settlement. The Security Deposit is sent at onboarding. We may change either on notice if the User’s risk profile changes.

7.4 Chargebacks and losses are withdrawn instantly from the User’s wallet and moved to Apara’s treasury. We may set off any amount owed against any amount payable, and claw back fees on reversed or fraudulent transactions.

7.5 Custodial wallets are held for Customers by a licensed Partner and may be used only for Payins, Refunds, settlement, reserves and recovery of amounts owed. Balances bear no interest, may fluctuate in value, and may be frozen or restricted under clauses 4 to 6. Users do not receive private keys or direct control of wallet infrastructure.

8. High-Risk Businesses

8.1 Each User is solely responsible for holding every licence required wherever it operates, geo-blocking prohibited jurisdictions and applying age, identity and responsible-use controls. We do not verify legality and give no legal, regulatory or investment advice.

8.2 Additional conditions apply: betting, casino, gaming and prediction businesses must hold all gambling or financial-services licences required (prediction products may be classed as gambling or financial instruments); forex and trading businesses must hold all financial-services licences, give mandatory risk warnings and offer no binary options or other prohibited products or services require our prior written approval, verified 18+ users and depicted persons with consent records, and absolutely no illegal, non-consensual or minor-related content.
